Terms of Use
Terms governing the COBNX prelaunch website and private interest list.

1. Acceptance and eligibility
These Terms of Use govern your use of the website operated by Cobnx Network Inc. (“COBNX,” “we,” “us,” or “our”), including its private interest list (collectively, the “Site”). By accessing or using the Site, you accept these Terms. If you do not agree, do not use the Site.
The Site is intended for people who are at least 18 years old and located in the United States. By using the Site, you represent that you meet those conditions. The Site is not directed to children.
2. Prelaunch information only
COBNX is in development. The Site provides general information about our company, ideas, and intended direction. It does not currently provide a charge card, payment network, financial account, membership, credit product, transaction capability, or other financial product or service.
Nothing on the Site is:
- an application or offer for credit or another financial product;
- an approval, preapproval, product reservation, membership, or guarantee;
- a credit inquiry;
- a promise that any product, feature, benefit, price, partnership, network capability, or launch will exist or be available; or
- financial, legal, tax, accounting, or investment advice.
Merely visiting the Site or joining the private list does not trigger a credit inquiry. Site descriptions are preliminary and may change. References to routing, credit capacity, repayment, credentials, rewards, benefits, fees, materials, networks, or other proposed features describe current design objectives, not operational capabilities or binding commitments. Do not rely on them as final product terms or as the basis for a financial decision. Any future product or service will be governed by separate final terms and may be subject to eligibility or underwriting requirements, partner approvals, applicable law, and availability.
3. Private-list registration
The Site may allow you to register an email address for material company and availability updates. Registration is free. It does not create an account, establish membership, reserve a product, determine priority, guarantee contact, or confer eligibility for any future product or benefit.
When submitting the form, you must provide an email address that you are authorized to use. Do not submit another person’s address without their permission. You may not use automated tools, submit deceptive or fraudulent information, evade security controls, or interfere with fair operation of the list. We may reject, deduplicate, suspend, or remove entries reasonably associated with invalid addresses, abuse, security risk, legal requirements, or a violation of these Terms.
A “Transmission acknowledged” response means only that the Site accepted the submission for processing. It does not confirm email deliverability, selection, priority, or admission to a future program. COBNX does not currently send a confirmation email.
By submitting, you agree to these Terms and acknowledge the Privacy Policy. You may ask to leave the private list at any time by contacting the privacy address identified in that policy. Any promotional email will include an opt-out method as required by law.
4. Permitted and prohibited use
Subject to these Terms, COBNX grants you a limited, nonexclusive, nontransferable, revocable license to access and use the Site for your personal, lawful, noncommercial use.
You may not:
- interfere with, disrupt, damage, or overload the Site;
- attempt to gain unauthorized access to any system, account, network, or data;
- conduct vulnerability testing, penetration testing, scraping, crawling, or automated collection without our prior written authorization, except where a restriction is prohibited by law;
- introduce malicious code, bypass a rate limit, evade a bot-detection or security control, or disguise the source of a request;
- impersonate another person or misrepresent an affiliation;
- use the Site for unlawful, deceptive, infringing, or harmful conduct; or
- help another person do any of the foregoing.
If you believe you have identified a security issue, contact legal@cobnx.io before testing or disclosing it. This contact method is not permission to test the Site.
5. Intellectual property and feedback
The Site, including its design, software, text, graphics, animation, logos, trademarks, and other original materials, is owned by COBNX or its licensors and is protected by intellectual-property and other laws. Except for the limited license above, these Terms grant no right, title, or interest in the Site or our names, marks, or materials.
If you voluntarily send us ideas or feedback, you grant COBNX a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and otherwise use that feedback for any lawful purpose without restriction or compensation. Do not send confidential or proprietary information through a feedback message.
6. Third-party links and services
The Site may link to, refer to, or use third-party websites, products, networks, trademarks, and services. COBNX does not control and is not responsible for a third party’s content, availability, security, or independent privacy practices. A link, reference, or use of a third-party name or mark does not imply affiliation, sponsorship, partnership, or endorsement. Your use of a third-party service may be governed by that third party’s terms and policies.
7. Availability and changes to the Site
We may change, suspend, limit, or discontinue any part of the Site or private list at any time. Content may be incomplete or become outdated as COBNX develops. We do not promise that the Site, form, or any communication program will be uninterrupted, error-free, secure, or available in every location.
8. Disclaimers
To the fullest extent permitted by applicable law, the Site and its content are provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
We do not warrant the accuracy, completeness, usefulness, reliability, availability, or security of the Site, or that any stated concept, architecture, product, service, benefit, partnership, or timeline will be implemented. Some jurisdictions do not permit certain warranty exclusions, so those exclusions apply only to the extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by applicable law, COBNX and its directors, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to the Site or private list.
To the fullest extent permitted by applicable law, the aggregate liability of COBNX and its directors, officers, employees, agents, and service providers for all claims arising from or related to the Site or private list will not exceed the greater of the amount you paid COBNX to access the Site during the 12 months before the event giving rise to the claim or 100 U.S. dollars.
These limitations do not exclude liability that cannot lawfully be excluded, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, or limit nonwaivable rights or remedies under applicable consumer-protection, privacy, civil-rights, or disability law.
10. Privacy and accessibility
Our Privacy Policy explains how information is handled in connection with the Site. Our Accessibility Statement explains our accessibility target and how to request assistance or report a barrier. Those policies are incorporated by reference only to the extent they describe the subjects they cover.
11. Changes to these Terms
We may update these Terms as the Site, our practices, or applicable law changes. We will post the updated Terms and revise the effective date. If a change materially affects your rights, we will provide additional notice when required by law. Changes apply prospectively from the stated effective date.
12. Assignment, severability, and no waiver
You may not assign or transfer your rights under these Terms without our prior written consent. COBNX may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Site, subject to applicable law.
If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver.
13. Applicable law and entire agreement
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except to the extent the law where you reside provides a nonwaivable protection. Subject to any nonwaivable right to bring a claim elsewhere, the state and federal courts located in San Francisco, California will have exclusive jurisdiction over a dispute arising from these Terms or the Site. Either party may bring an eligible individual claim in small-claims court. Nothing in these Terms limits a right or remedy that cannot legally be waived. These Terms do not contain an arbitration agreement, class-action waiver, jury-trial waiver, or shortened limitations period.
These Terms, together with the policies referenced above, are the entire agreement concerning use of this prelaunch Site and private list. They do not govern any future COBNX product or service that is subject to separate terms.
